PRICING ERRORS

In the event a product or service is priced incorrectly due to typographical error or incorrect pricing information received from partners, affiliates, or any other third-parties we reserve the right to refuse to conduct or cancel the services. We may refuse or cancel such services even if they have been confirmed and you have been charged by way of credit or debit card, electronic check, or any other means of payment. If you have been charged and your order is canceled, we will credit you with the incorrect amount promptly.

ACCEPTANCE AND CANCELLATION OF SERVICES

Company reserves the right, at our sole discretion, to refuse or cancel any orders or services for any reason. We may also, at our sole discretion, restrict or terminate your account for any reason. For your convenience, you will not be charged until your payment method is authorized and the order information is verified for accuracy. The limitation of liability set out above does not apply to liability resulting from our gross negligence or willful misconduct or death or bodily injury caused by products you purchase through the Website.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, managers, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Website, including, but not limited to, your use of the Website’s content, Output Data, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Website.

GOVERNING LAW & VENUE

All matters relating to the Website and these Terms of Service, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction).

Subject to the agreement to arbitrate below, any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York, in each case located in the County of New York, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Service in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

DISPUTE RESOLUTION

Mindful of the high cost of legal disputes, not only in dollars but also in time and energy, both you and the Company agree to the following dispute resolution procedure: In the event of any controversy, claim, action or dispute arising out of or related to any transaction conducted on the Sites, or the breach, enforcement, interpretation, or validity of this Agreement or any part of it (“Dispute”), the party asserting the Dispute shall first try in good faith to settle such Dispute by providing written notice to the other party (by first class or registered mail) describing the facts and circumstances (including any relevant documentation) of the Dispute and allowing the receiving party thirty (30) days in which to respond to or settle the Dispute. Notice shall be sent (a) to the Company at 1111b S Governors Ave STE 21202 Dover, DE, 19904 US and (b) to you at the addresses provided to the Company.

Both you and the Company agree that this dispute resolution procedure is a condition precedent which must be satisfied prior to initiating any arbitration or filing any claim against the other party.

ARBITRATION AGREEMENT

To the extent you cannot resolve any Dispute through the informal dispute resolution procedure described above, a Dispute shall be resolved through binding individual arbitration. You agree to give up your right to go to court to assert or defend your rights under this Agreement and with respect to any Dispute. You and the Company expressly delegate to the arbitrator the authority to determine the arbitrability of any Dispute, including the scope, applicability, validity, and enforceability of this arbitration provision.

You may begin an arbitration proceeding by sending a letter requesting arbitration to the Company. You agree that the arbitration shall be conducted by the American Arbitration Association (“AAA”) pursuant to its Consumer Arbitration Rules (“AAA Rules”), as modified by this Arbitration Agreement. The AAA Rules are available on the AAA’s website www.adr.org, or by calling the AAA at (800) 778-7879. In the event the AAA is unavailable or unwilling to hear the Dispute, the parties shall agree to another arbitration provider. Payment of all filing, administration and arbitrator fees will be governed by the AAA’s applicable rules. The Company will reimburse those fees for claims totaling less than $10,000 if the arbitrator rules in your favor on any material aspect of your claim. The Company waives its right to seek attorneys’ fees and costs in arbitration. However, if your claim is deemed by the arbitrator to be frivolous or brought in bad faith or with an improper purpose, as measured by the standards of Federal Rule of Civil Procedure 11, then the arbitrator may award the Company the reimbursement of its costs and arbitration fees against you and/or your counsel. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location. You further agree that if your arbitration claim is filed at or around the time of other similar claims by the same or related counsel, you agree that your claim may be temporarily stayed or phased to allow the AAA to establish efficient and fair adjudication procedures.

In lieu of arbitration, either you or the Company may bring any individual claim in small claims court consistent with the jurisdictional and dollar limits that may apply, as long as it is brought and maintained as an individual claim. You further agree that if your arbitration claim is filed at or around the time of other similar claims by the same or related counsel, you agree that your claim may be temporarily stayed or phased to allow the AAA to establish efficient and fair adjudication procedures.

This Arbitration Agreement shall be governed by, and interpreted, construed, and enforced in accordance with, the Federal Arbitration Act. The terms of the Arbitration Agreement provisions shall survive after this Agreement terminates or your use of the Sites ends. Except as set forth above, if any portion of this Arbitration Agreement is deemed invalid or unenforceable, it will not invalidate the remaining portions of the Arbitration Agreement.

WAIVER OF RIGHT TO BRING CLASS ACTIONS AND REPRESENTATIVE CLAIMS.

All arbitrations shall proceed on an individual basis. The arbitrator is empowered to resolve the Dispute with the same remedies available in court, however, any relief must be individualized to you and shall not affect any other customer. You and the Company agree that each may bring claims against the other in arbitration only in your or their respective individual capacities and in so doing you and the Company hereby waive the right to a trial by jury, to assert or participate in a class action lawsuit or class action arbitration (either as a named-plaintiff or class member), and to assert or participate in any joint or consolidated lawsuit or joint or consolidated arbitration of any kind. If a court decides that applicable law precludes enforcement of any of this paragraph’s limitations as to a particular cause of action, then that cause of action (and only that cause of action) must remain in court and be severed from any arbitration.

TERMINATION

With the exception of the Arbitration Agreement, which shall survive the termination of these terms, these terms are effective unless and until terminated by either you or the Company. You may terminate this Agreement at any time. The Company also may terminate this Agreement at any time without notice, and accordingly may deny you access to the Sites, if in our sole judgment you fail to comply with any term or provision of the Agreement. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this Agreement for all purposes.

MISCELLANEOUS

No waiver by the Company of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

The Terms of Service and our Privacy Policy constitute the sole and entire agreement between you and the Company regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

Under no circumstances will we be held liable for any delay or failure in performance due in whole or in part to any acts of nature or other causes beyond our reasonable control.

We may assign our rights and obligations under this Agreement, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law.

Terms of Service _Now

CHAPTER I. GENERAL PROVISIONS

§ 1
  1. These terms and of service set forth the detailed rules for providing the _Now service by cyber_Folks S.A. and will be hereinafter referred to as the “Terms” or “_Now Terms”.
  2. cyber_Folks S.A. is a company based in Poznań (61-569) at Wierzbięcice 1B, entered into the register of entrepreneurs of the National Court Register by the District Court Poznań – Nowe Miasto and Wilda in Poznań, 8th Commercial Division of the National Court Register, under KRS number 0000685595, REGON 367731587, NIP 7792467259, with share capital of 283,600.00 PLN, fully paid.
  3. cyber_Folks S.A. will hereinafter be referred to as the “Provider”.
  4. The terms apply to Users who have a tax residence in one of the European Union countries.

§ 2

The definitions used in these Terms mean:

  1. “Service” – a service provided electronically, consisting of access to a tool enabling the independent creation and management of a website.
  2. “Provider” – cyber_Folks S.A., a company based in Poznań.
  3. “User” – an entity that is granted or has already been granted the right to use the Service; the User is a Customer as defined in the Terms.
  4. “User Data” – data entered by the User into the Service.
  5. “Website” – the User’s website, created as a result of using the Service. Once published by the User, the website is available to all Internet users.
  6. “General Terms” – the currently applicable Terms of electronic services provided by cyber_Folks S.A., available at: https://cyberfolks.pl/regulaminy/.
  7. “Input Data” – data provided to the Service by the User or acquired by the Service, based on which the Service generates a website.
  8. “Output Data” – data that results from the operation of the Service.

§ 3
  1. The _Now Terms are special terms within the meaning of the General Terms. In matters not regulated by these Terms, the General Terms apply.
  2. To use the full scope of the Service, the following is required:|
    a. A device with Internet access
    b. A browser with JavaScript enabled and HTML/CSS rendering options enabled

  3. The User may not use the Service to provide or publish unlawful content.

CHAPTER II. AGREEMENT

§ 4
  1. The Service is a service provided electronically in accordance with the Act of July 18, 2002, on the provision of electronic services, which implements Directive 2000/31/EC of the European Parliament and of the Council of 8 June 2000 on certain legal aspects of information society services, in particular electronic commerce, in the Internal Market (‘Directive on electronic commerce’) (Journal of Laws EU L 2000 No. 178, p. 1, as amended). 
  2. An email address must be provided to use the Service.
  3. Access to the Service is paid.
  4. Payment for the Service is made according to the terms specified by the Provider.
  5. To use the Service, the following is required:
    a. Acceptance of these Terms
    b. Acceptance of the General Terms
    c. Familiarization with the Privacy Policy
  6. As part of using the Service, the User is authorized to create and publish only one website.
  7. The User is not authorized to copy the website created using the Service and publish it outside of the hosting service provided to the User by the Provider.
  8. The Provider is authorized to suspend the Service for a reasonable period and, after giving prior warning, cease providing the Service to a User who frequently provides unlawful content.
  9. If payment for the Service is not made within the period specified by the Provider and based on subscription periods, the Provider may suspend public access to the Website for no more than 14 days.
  10. If payment is not made during the suspension period (at least 14 days from the expected payment date), the Provider may permanently remove public access to the Website and all data related to the Service without the possibility of recovery.
  11. The Provider reserves the right to suspend or block the Service and public access to the Website if the User publishes obscene, offensive, or violent content or engages in unlawful activities, including promoting illegal or unlawful services or products.

CHAPTER III. INTELLECTUAL PROPERTY

§ 5
  1. The User retains all ownership and intellectual property rights to the User Data. The User grants the Provider a non-exclusive, territorially unlimited, free, irrevocable, perpetual, sublicensable, and fully paid right to access, collect, use, process, store, disclose, transfer, transmit, copy, modify, and display the User Data for the purpose of:
    a. Providing Services;
    b. Generating and returning output data created by the Service;
    c. Improving and enhancing the Service and other offerings;
    d. Creating and generating data, information, or other materials that are anonymized and not identifiable as related to a specific person or company (aggregated data).
  2. The Provider may use, process, store, disclose, and transfer aggregated data for any purpose without any restrictions or obligations to the User.
  3. Between the Provider and the User, all rights, titles, and interests in aggregated data and any associated intellectual property rights belong to the Provider.
  4. The User has no intellectual property rights to any content generated by the tool available within the Service based on artificial intelligence.
  5. Content posted by the User on the generated website is their property, provided it does not infringe on the rights of third parties. The User assumes full responsibility for this content.

§ 6
  1. Between the User and the Provider, the User owns all output data.
  2. The Provider hereby transfers all their rights, titles, and interests to the User in the output data.
  3. The User acknowledges and agrees that due to the nature of machine learning, the output data may not be unique or accurate.
  4. The User is responsible for assessing the output data and ensuring that any output data is appropriate, accurate, complete, and complies with applicable laws.
  5. The User is responsible for the use of output data during the Service period and the publication of the generated website.

§ 7
  1. The Provider or its licensors retain all ownership and intellectual property rights to:
    a. The Service;
    b. Anything developed or provided by the Provider or on its behalf (excluding output data);
    c. Any other confidential information of the Provider, including but not limited to any reports generated from the Service or any aggregated data.

§ 8
  1. The User grants the Provider a territorially unlimited, perpetual, irrevocable, royalty-free license to use and incorporate into the Provider’s Services any suggestions, improvement requests, recommendations, corrections, or other feedback provided by the User regarding the operation of the Service.
  2. All rights not expressly granted to the User by the Provider under these Terms are reserved.

CHAPTER IV. LIABILITY

§ 9
  1. Due to the nature of machine learning, the Provider does not assume responsibility for the Output Data.
  2. The User is fully responsible for the Input Data and the Output Data.
  3. Before publication, the User is obliged to familiarize themselves with the Output Data and verify its accuracy and potential illegality.
  4. The Provider does not guarantee that the Services (including any content, data, or information generated by artificial intelligence) will be uninterrupted, accurate, or error-free, nor that all errors can or will be corrected.
  5. The Provider makes no warranty regarding the results that may be obtained from the use of the Service.
  6. The User assumes all risks, including but not limited to:
    a. Content submitted to the Service
    b. Output data generated by the Service’s artificial intelligence features
    c. The use of the Service
    d. Any actions arising from or related to any claim that the Output Data generated by the Service’s artificial intelligence features infringes on any third-party intellectual property rights.
  7. To the maximum extent permitted by applicable law, the Provider hereby disclaims all express, implied, additional, or statutory warranties, representations, and conditions, both written and oral, including any implied warranties or conditions of merchantability, merchantable quality, compatibility, title, non-infringement, security, reliability, completeness, quiet enjoyment, accuracy, quality, integration, or fitness for a particular purpose or use, or any warranties or conditions arising from the course of dealings or commercial use.

CHAPTER V. PERSONAL DATA PROTECTION

§ 10
  1. The Provider is the data controller of personal data necessary for the execution and settlement of the Service.
  2. Personal data is processed in accordance with Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016, on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) (Journal of Laws EU L 2016 No. 119, p. 1, as amended).
  3. The Input Data entered by the User into the tool available as part of the Service is processed by a tool utilizing artificial intelligence features. For the Input Data, the Provider is the data processor.
  4. The User is the data controller of all data entered into the tool available as part of the Service.
  5. The data referred to in paragraph 4 is processed by OpenAI Ireland Ltd., which is the data processor for the Provider.
  6. Data processed by OpenAI Ireland Ltd. is not used for machine learning.
  7. For enhanced security of personal data, the User should provide only the data necessary to generate the website in the Input Data – i.e., no personal data other than what is intended for publication on the generated website should be entered.
  8. After the data processing described in paragraph 4, the website is generated as part of the Service.

CHAPTER VI. FINAL PROVISIONS

§ 11
  1. The Provider may amend the Terms, particularly in the following cases:
    a. Changes in legal regulations, decisions, or guidelines of state authorities or court rulings that directly impact the rights and obligations of Users or the Controller;
    b. Changes in the operation or architecture of the Service’s IT systems, particularly changes in functionality or the scope of services provided;
    c. For data security reasons and to prevent abuse or violations of the law or the justified interest of Users or the Provider;
    d. Editorial changes aimed at improving the clarity of the content.
  2. In matters not regulated by the Terms and the General Terms, the generally applicable laws shall apply.
